MicroStrategy, a well-established business intelligence company and a long-term holder of Bitcoin, unveiled its intention to sell $500 million worth of convertible senior notes with maturity in 2032.

It’s intriguing that the funds generated through this project will be allocated towards purchasing additional Bitcoin as well as other business-related uses.

The NASDAQ-listed company, as stated in its official announcement, plans to give initial purchasers of the notes the ability to buy an extra $75 million worth of notes within 13 days following the issue date.

Starting from December 15, 2024, the company’s unsecured senior notes in question will carry a semiannual interest payment on June 15th and December 15th every year.

The notes we hold will reach maturity on June 15, 2032. However, they can be redeemed, repurchased or converted earlier than that if certain conditions are met.

On June 15, 2029, note holders have the right to request MicroStrategy buy back any portion of their notes in exchange for cash. Moreover, the company has the flexibility to let investors redeem their notes for cash, shares of MicroStrategy Class A common stock, or a mix of both at its own discretion.

MicroStrategy announced that the notes it issued would only be convertible prior to December 15, 2031 under specific conditions and during specified windows. After this date, the notes could be converted at any time up until the second trading day preceding their maturity.
